FOOD SAFETY PROGRAM SCHEDULE

Purpose

Wonder Brands Inc. doing business as Maison Longueuil Boulangerie (“Maison”) is committed to maintaining the highest standards of food safety, quality, and regulatory compliance across its global supply chain.

The purpose of this Food Safety Program (the “Program”) is to ensure that safe, high‑quality, and consistent products reach Maison’s customers and consumers. This Program is designed to support compliance with all applicable food safety laws and regulations, including, as applicable:

  • the Safe Food for Canadians Act and Safe Food for Canadians Regulations;
  • applicable provincial legislation, including the laws of the Province of Quebec;
  • the U.S. Food Safety Modernization Act (FSMA) and regulations enforced by the U.S. Food and Drug Administration (FDA), where ingredients or materials are sourced from, or subject to, U.S. jurisdiction.

This Schedule highlights key elements of the Program that all Suppliers must comply with. It does not exhaustively describe all food safety obligations and does not supersede any rights or obligations set out in purchase orders, supply agreements, or other written agreements with Maison.

Supplier Responsibility

Each Supplier is responsible for:

  • complying with and implementing this Schedule;
  • maintaining effective food safety and quality systems;
  • providing Maison with accurate, complete, and current documentation upon request; and
  • implementing corrective actions and action plans, where required, subject to Maison approval prior to implementation.

MAPAQ Compliance

Where Suppliers or facilities operate in, or supply products for use or sale in, the Province of Quebec, Suppliers shall comply with all applicable requirements administered by the Ministère de l’Agriculture, des Pêcheries et de l’Alimentation du Québec (MAPAQ), including but not limited to licensing, inspection, sanitation, traceability, food safety, and recall obligations.

Suppliers shall cooperate fully with MAPAQ and provide access to records, facilities, and personnel as required by applicable Quebec law.

Third Party Food Safety Certification

Global Food Safety Certification

Suppliers are required to maintain certification under a Global Food Safety Initiative (GFSI) recognized scheme at each applicable facility, as a minimum standard, unless otherwise approved by Maison. Suppliers shall provide current audit reports and certificates prior to approval and shall maintain annual certification.

Alternative Certification and Audits

Where GFSI certification is not available or not applicable, Suppliers must provide alternative third‑party food safety audit documentation demonstrating compliance with Good Manufacturing Practices (GMP) and Hazard Analysis and Critical Control Points (HACCP) principles or submit to Maison‑initiated audits.

Questionnaire and Risk Assessment

Suppliers without acceptable third‑party certification may be required to complete a food safety questionnaire used by Maison to conduct a risk assessment and determine Supplier approval status.

Maison Supplier Audits

Maison may conduct, or require third‑party audits of, Supplier facilities based on risk level, regulatory requirements, or other relevant factors.

FSMA and Preventative Controls (U.S. Related Supply)

Where a Supplier is subject to U.S. jurisdiction or supplies ingredients sourced from the United States, the Supplier shall comply with applicable FSMA requirements, including:

  • risk‑based hazard analysis;
  • implementation of preventive controls;
  • maintenance of a food safety plan; and
  • designation and training of one or more Preventive Controls Qualified Individuals (PCQI), where required.

These requirements apply only where legally applicable and do not replace or override Canadian food safety obligations.

Foreign Supplier Verification Program

Where applicable, importers and Suppliers involved in U.S.‑origin ingredients shall comply with the FSMA Foreign Supplier Verification Program (FSVP). Unless expressly agreed in writing, Maison does not assume the statutory role of FSVP importer and relies on the legally responsible importer to fulfill all FSVP obligations.

Facility and Ingredient Change Notification

Suppliers shall notify Maison in writing of any material changes to facilities, ingredients, formulations, allergens, country of origin, GMO status, packaging, or processing methods prior to implementation. No changes may be made without Maison’s prior written consent.

Allergen Controls

Suppliers shall maintain documented allergen management and control programs appropriate to the products supplied, including, where applicable:

  • identification of allergens present in raw materials, ingredients, and finished products;
  • controls to prevent allergen cross-contact during manufacturing, handling, storage, and transportation;
  • validated cleaning and sanitation procedures where allergen changeovers occur;
  • verification of accurate allergen labeling and ingredient declarations; and
  • training of personnel involved in allergen handling.

Suppliers shall immediately notify Maison in writing of any actual or potential allergen-related incident, including undeclared allergens, cross-contact risks, or labeling errors, and shall cooperate fully in any resulting investigation, corrective action, or recall.

Food Safety Documentation

Suppliers shall maintain all food safety and quality records required by applicable law and this Schedule and shall make such records available to Maison upon request. Suppliers must promptly notify Maison of any expirations, suspensions, cancellations, or material changes affecting food safety documentation.

Testing and Verification

Suppliers shall maintain risk‑based testing programs appropriate to the nature of the products supplied and identified hazards. Where Maison requests testing, Suppliers shall cooperate fully, including arranging third‑party laboratory testing where required and holding product until acceptable results are confirmed.

Traceability

Suppliers supplying products, ingredients, or materials for use or sale in Quebec shall maintain traceability systems in accordance with applicable Quebec requirements, including the ability to identify:

  • the immediate Supplier of the product or ingredient; and
  • the immediate customer or recipient of the product or ingredient.

Suppliers shall maintain records sufficient to support one-step forward and one-step back traceability and shall be able to provide such records to Maison within twenty-four (24) hours of request, or sooner where required by law or in the event of a food safety incident or recall.

Recall and Withdrawal

Suppliers shall maintain a documented recall and withdrawal procedure and shall immediately notify Maison of any actual or potential recall, market withdrawal, or food safety incident involving products supplied to Maison. Notification shall be made without delay by telephone and email using the contact information provided by Maison.

Suppliers shall cooperate fully with Maison, the Canadian Food Inspection Agency (CFIA), the FDA, and any other applicable regulatory authority.

Mock Recall Testing

Suppliers shall conduct periodic mock recall or traceability exercises to verify the effectiveness of their recall and traceability procedures.

Mock recall exercises shall be conducted at a frequency appropriate to the Supplier’s risk profile and regulatory requirements, and at least once every twelve (12) months where required by applicable law or third-party certification standards.

Upon request, Suppliers shall provide Maison with documentation demonstrating the execution and results of such mock recall exercises, including timelines, affected products or lots, and any corrective actions identified.

Recall Reporting Information

When reporting a recall or withdrawal, Suppliers may be required to provide the following information, as applicable:

  • Product name and description;
  • Size, pack format, bulk or retail configuration;
  • Product codes, lot codes, date codes, and expiration dates;
  • Shipping dates, purchase order numbers, and distribution details;
  • Reason for recall or withdrawal and associated risk assessment;
  • Confirmation of notification to CFIA, FDA, or other authorities, where applicable;
  • Supplier food safety, quality, or technical contact information; and
  • Supplier business representative contact information.

These examples are provided for guidance only and do not limit Maison’s right to request additional information as required by law or internal procedures. For further information, see the Supplier Recall Program attached hereto as Appendix “A”. 

Transportation Requirements

All food-related products, including ingredients, packaging, and labeling materials, must be transported in a manner that prevents damage, contamination, and temperature abuse, and that complies with applicable Canadian, U.S., provincial, and state regulations.
Transportation equipment and practices shall, at a minimum, meet the following standards.

General Transportation Standards

Food products shall be:

  • suitable for food shipments and protected from contamination;
  • placed on pallets in acceptable condition, free from splinters, holes, or debris;
  • shrink-wrapped or otherwise secured to prevent damage during transit.

Trailers, containers, and transport vehicles shall be:

  • cleaned on a regular basis, with records available upon request;
  • constructed of materials suitable for food contact;
  • clean, dry, and free from mold, pests, noxious odors, or residues;
  • sealed or locked prior to departure, with seals intact upon arrival; and
  • restricted to food use or, where used for food and non-food items, segregated from items that could cause contamination, including but not limited to:
    • paints and solvents;
    • pesticides and hazardous chemicals;
    • perfumed soaps, detergents, and similar materials;
    • meat, meat by-products, and seafood not fully frozen and fully sealed; and
    • dirty equipment or construction materials.

Loading Temperature and Segregation

Transportation shall ensure that products are:

  • loaded, arranged, and unloaded in a manner that prevents damage or contamination;
  • temperature controlled in accordance with shipping documents, with monitoring records made available upon request;
  • segregated to prevent allergen cross-contact or other contamination risks, with prior load records available upon request.

Breakdown and Incident Management

Carriers and Suppliers are expected to maintain documented procedures addressing transportation breakdowns or incidents, including:

  • communication protocols to notify Maison promptly;
  • availability of backup vehicles or repair services;
  • evaluation of affected products; and
  • documentation of corrective actions taken.

Bulk Ingredient Deliveries

For bulk ingredient deliveries, Suppliers and carriers should ensure that:

  • drivers remain with the vehicle during unloading;
  • location-specific spill prevention requirements are followed; and
  • drivers are trained to respond to delivery-related incidents

These examples are provided for guidance and illustration only and do not replace the Supplier’s obligation to comply with all applicable laws and Maison requirements.

Confidentiality

All information exchanged under this Schedule constitutes confidential commercial information and shall be protected in accordance with applicable contractual obligations, Quebec civil law where applicable, and relevant Canadian and U.S. laws.

SUPPLIER RECALL PROGRAM

A primary business goal of Wonder Brands Inc. doing business as Maison Longueuil Boulangerie (“Maison”) is to provide safe, high quality and consistent products to our customers and consumers. This Supplier Recall Program (the “Recall Program”) requires all Suppliers, including brokers, to immediately notify us via phone 1-800-661-7246; Direct Number 416-553-2385 or via email info@mieetcie.com.

COMPLIANCE WITH THE RECALL PROGRAM IS IN ADDITION TO AND DOES NOT SUPERSEDE ANY RIGHTS OR OBLIGATIONS ESTABLISHED IN THE PURCHASE ORDER TERMS AND CONDITIONS OR IN ANY AGREEMENT MAISON MAY HAVE WITH OUR SUPPLIERS.

Maison’s Suppliers are required to contact us directly to eliminate delays and ensure the communication of issues to the appropriate recipients. 

Reporting a recall or withdrawal: Timeline, accuracy and comprehensive details will allow us to work with our Suppliers to ensure the containment and removal of potentially harmful products/ingredients found in our plants. The following information is required when reporting a recall or withdrawal to Maison:
